Italy's Legal System and Contracts

Italy operates under codified law. Italian judges are selected professionally and judgement they render are completely governed by the law as codified in the Code of Civil Procedure, originally published in 1942.

Italian Civil Code says a contract is the agreement between two or more parties to establish, regulate or terminate a legally formed relationship about their assets.

Parties of the agreement may freely determine the content of the contract within the limits of the law. In Italy, a contract is finalized when the party who proposed contract has knowledge of the other party's acceptance.

Contract Negotiation Tips in Italy

Italians put a strong emphasis on personal relationships and it is important to keep this in mind when doing business in Italy. Below are some tips to use when engaging in a contract negotiation:

  • Establish initial relationships through local representatives.

  • Schedule your meetings 2-3 weeks in advance.

  • Inform any other parties in the negotiation of attendees and their positions.

  • If you are running late, you must inform all parties.

  • Avoiding conflict during negotiation is critical.

  • Do not try to rush any deal. Have a slow pace.

  • Focus on win-win solutions that are long term, and not short term.
